• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our Services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services

Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal courts of the United States or the courts of the State of California.

Dispute Resolution

Informal Negotiation

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and Calcily agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, either party may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Calcily regarding our Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without our prior written consent shall be null and void.
